I just briefly scanned through, but it looks like Article 9, section 1 is the section I was talking about.  That explains how the bylaws may be changed. 
 
We do not need to refile unless we change our reason for operation - such as from non-profit to for-profit.  We're not doing that, only changing one of the articles of the bylaws (Article 4, section 3 and any other relevant articles).  We just need to follow the procedures outlined in Article 9, section 1.   
The IRS provides us with approval or denial of our tax status.  I would not suggest we ever tamper with that!  ; )
It's a bear to change, or to apply for in the first place.  I've done it for 3 organizations now and am working on a committee for setting up a fourth.  It can make you very sleepy...

It's not entirely clear to me how AGA originally filed. the document on file with SoS Mass is fomrely called the Articles of Organization (attached uned that name) and reference Bylaws. I only have on copy of bylaws, which, iirc, David provided me (attached as AGA bylaws.doc).

 

Under the Bylaws attached here, which may or may not have been included with the original filing, the Board elects members at a meeting with at least two non-board members are present. And, essentially, all Directors sit at the discretion of the Board.

Wholy catch 22 Batman! We would need to refile with
the Sec of State? What about just issueing an
Amendment to the by-laws would that have the same risk
implications to an audit of our tax-exempt status? Any
other ideas?

Obviously I do not want to jeopardize our tax exempt
status.
