Hi all --

Enclosed is our lawyer's working draft of the bylaws for the incorporation
of the AGA. The general precept for the process is that the AGA will be
run by the Board of Directors. You will notice that not much is prescribed
as "must" be done -- rather most things are "may" be dones. Upon my first
reading the only comments I have are: 1) We want to provide for all
actions, including meetings, to be done via email 2) I think we should
provide for the annual meeting to be held the 2nd Friday of November,
which coincides with our annual show (hopefully it will be annual?) 3)
Section 4 -- this may become known as the "Gomberg clause", as if it were
in effect now, Dave (or any otrher member) would not have to negotiate
with us for the mailing list -- he would just have to request it. We may
want to think this one through a little.
 
There are a few other typos and inconsistencies that I caught, but in
general I found this an admirable effort on Joe's part. I think that with
some discussion amongst ourselves we should be able to arrive at the final
document shortly, and have the AGA incorporated by the November meeting.
