I'll bet the law states that THE CLERK and the principle offices msut be in MA, so probably just one will do. After all, there's no reson why a organization couldn't have more than one set of principle offices. Maybe we should call one of the clerks the Emergency Backup Clerk. Or maybe jsut pronounce the title of one of them Clark, lke they do in England. The diff won't show up in print, but in conversation, it would be very clear. Some of the general probs with Corp.s is how do you individuate them and their parts, physically locate them, and track the money in and out. The first two of those problems are the basic philosophical problems of identity that philosophy grad students spend their grant money, and often your tax money, pursuing. The laws are infamously inadequate for dealing with these problems if a corp.'s directors are at all determined to be elusive -- the more infamous examples have been in relatively recent headlines. But the hodge-podge of rules, regs, and laws, which vary greatly from state to state, while a boon of loopholes for the big liars, can be a real pain for honest little pipsqueak outfits. One would expect such trouble (identity, individuation, location) with corp.s, which, in essence are pretend entities -- what philosophers might call fictive persons created by the pretense of law and habit of social convention without any genuine ontological presence.
