Btw, apparently one of the reasons that a clerk or registered agent must reside in the state of incorporation is so that there is someone the state or others can contact with legal papers -- technically, someone to receive "process" on behalf of the corp. A real person residing within the jurisdiction of the state is required because, the corporation itself, being a fictitious person, can't physically receive any documents.
