When I made my comments about the formation of the "new" AGA leadership 
structure, I guess I was under the assumption that we were already in the 
process of writing our bylaws.  Sorry.  My own club's attorney did all of the 
paperwork associated with filing the articles of incorporation and for the 
application for non-profit status.  We had to rewrite, update to conform with 
current IRS  and state laws, and have our board first and then our general 
membership vote on and approve the new bylaws.  This involved posting the 
changes to our bylaws in our publication, and leaving time for comments from 
the membership before voting.  We are set up as a general membership (all 
memberships get a vote for the board and the officers, but not the committee 
chairs),  hobby oriented (non-professional) non profit organization.  With 
all of the paperwork involved in doing this for us (pro bono) we were not 
about to ask her to also rewrite our bylaws for us.  She read over them and 
suggested changes.  Our old rules and Robert's Rules of Order provided a 
guideline for us.  

I thought we were further along in the planning, and were discussing the fine 
points of our management structure.  As to now, I would just keep the current 
voting system of the SC making the decisions.  It has worked well enough up 
to now.  I guess I've made it clear that I don't particularly like the 
membership not having a voice in the leadership of the AGA (or any other 
hobby type non-professional, non-compensated organization's staff), but there 
is no need to change anything until we get closer to incorporation.  Since I 
believe Mary said that Bob will be away until early June, I don't think it 
would be prudent to go possibly majorly changing our organizational structure 
without his advice, especially if it could undue some work which he has 
already done. 

If we don't already have one, I would suggest we get together a committee to 
write the bylaws, or rewrite whatever rules we do have to comply with 
whichever type of non profit corporation we decide to set up.

As I have already sat on one of these type committees, and will soon be on 
another one for the Mid America Council, I would be interested in helping out 
if you are willing to put up with some more lengthy emails.  

And by the way, Neil, I apologize for the extra length replies with all of 
the previous discussions attached!  I'm still figuring all of this electronic 
communications stuff out!  I've only been online for a couple of months, and 
am still learning some of the amazing things this powerful calculator can 
do...
