I don't think this is really necesary for two reasons. As Eric I believe
has pointed out, Bob Casin has already done some work on the by-laws which
we can make use of. Secondly, lawyers nowadays use standard forms and then
plug in information pertaining to the particular client. Bob will probably
use a standard form for a membership corporation if this is what people want
and customize it to suit our needs.

I made these remarks within the context of Karen's proposal to revive the
by-laws committee. Yes, I know that there are some hold-ups and that some
basic decisions that need to be made. But what I was trying to say is that
we really don't need another committee to get the job done. Bob told me
that once these decisions are made, drafting the by-laws and doing the
paperwork so that we can become a nonprofit organization will be a half a
day's work for him.

If the group feels more comfortable adopting the by-laws of another hobbyist
group, we can use Bob Cashin's previous work.

I am confident that we as a group can resolve these issues without another
committee.

As far as taking a straw vote is concerned, I personally wouldn't feel
comfortable voting on something without knowing all the facts. I can't see
that a couple of days delay after asking Bob a question is going to make
that much of a diference, but whatever. But it may be that what the group
seems to want, a membership structure plus the right of the SC to remove
destructive members, may be extremely difficult to accomplish in
Massachusetts. So the group should resolve whether or not giving the
membership a vote is so important that it should supersede other needs that
the group might have.
