Changing the bylaws should not require a refiling, and doesn't affect your tax status unless you are substantially changing the way your organization operates to move you out of your current status (such as changing to operate as a for-profit corporation).  
 
501 (c) (3)'s do it all the time.  Two of the 501's on whose boards I sit have changed their bylaws in the past 12 months with no problems, and one other does it at least every 3 or 4 years. 
 
There should be a procedure in place in the initial bylaws to allow for updates and changes.  After that procedure is followed - usually by a vote of the membership - though I have no idea what our bylaws say - then all you have to do is file amended copies of your bylaws with the governing body - the Secretary of State or Director of Revenue - at least in most states. 
 
If MA is that difficult and different from most other states, then we should look to reincorporate elsewhere, as that limitation is crippling to the normal operation of any organization.

If you change the bylaws, you need to refile with the Sec of State of Mass and the whole tax-exempt status things comes up again. We've actually never changed the bylaws fioled with Mass since the first filing with SoS Mass, which are exceedingly brief.

I think we would need to re-write (or ammend) the bylaws before we could
hold elections.

Besides, who told you you were accepting for a one year term?  Didn't you
know that this is like royalty?  You're king until you either die or
