"Stepping in" means ?
Perhaps language roughly along these lines -- you folks pretty it up if you
have the notion:
The San Francisco Bay Area Aquatic Plant Society ("SFBAAPS"), a regional
organization of planted aquarium enthusiasts living generally in and around the
greater San Francisco Bay Area and whose stated purpose is to enrich its
membersâ aquatic gardening experience while advancing the aquatic gardening
hobby, and The Aquatic Gardeners Association, Inc. ("AGA"), a nonprofit
organization incorporated under the laws of Massachusetts, agree to the
following:
SFBAAPS and AGA shall endeavor to jointly plan and conduct the activities for a
convention in furtherance of the AGA's stated purpose ("Convention"):
- to disseminate information about aquatic plants.
- to study and improve upon techniques for culturing aquatic and bog
plants in aquariums and ponds.
- to increase interest in aquatic gardening.
- to promote fellowship among its members.
The Convention is to be held a the Park Plaza Hotel, in Oakland, California, on
or about November 10, 11, and 12,
Convention Expenses shall be the gross amount of those expenditures made the
AGA or SFBAAPS on behalf of the Convention with the Approval of the AGA Board
of Directors, not including the Participation Payment, if any, paid by the AGA
to SFBAAPS. Convention Revenues shall be the gross amount of all revenues
received by the AGA or SFBAAPS as a direct result of the Convention. Membership
dues or revenues shall not be deemed to be a direct result of the Convention.
The difference between all Convention Expenses and Convention Revenues shall be
deemed the Net Financial Return of the Convention ("Net Return"). The Net
Return, whether positive or negative, shall be borne solely by the AGA.
Participation Payment: After the convention, the AGA shall pay to SFBAAPS for
its participation in the planning and activities of the Convention one-half of
the amount of the any Net Return in excess of $2,000.
Whereas the convention is intended to be a joint endeavor of both parties, it
is understood that each will be involved in the decision-making processes
through representatives appointed by their respective organization and each
party agrees that it will make reasonable good faith efforts to resolve any
disputes relating to this agreement. The AGA, being the only party at risk for
financial loss, may at its discretion assume responsibility for the planning
and activities of the convention if it determines that doing so may reasonably
minimize risk of significant financial loss.

Did Jim say who the speaker wrangler is?
When the time comes, we should ask Leon if he has any experience running a
big auction... it's all well and good to ask to chair it because you're
pissed at how last year's was run, but...
I would propose we do a similar deal to DFW in terms of liability and
profit: first $2000 net goes entirely to AGA, then 50% between the clubs
afterwards. But also add provision that since AGA is solely backing this
financially, we are allowed to step in if we think the financial viability
of the convention is threatened by actions (or inactions) by SFBAAPS.
Glad Larry is taking over hotel negs. Might actually make this work now.
