Bob, Is the University of Washington Fisheries department or the Seattle Aquarium considered a non-profit? They might be worthy of our assets in the event of dissolution. Just my thought....I know I am not part of the Board. It's pretty straightforward (for a government form) but there are a few things that we need to iron out. (by the way, if you want to look at the Application to Form a Nonprofit Corporation form, you can see it at the Sec. of State website www.secstate.wa.gov/corps ) I called their office and they told me it takes about a week to complete the incorporation process, or we can expedite it to one day for an additional $20. Might be worth it. We need to decide what to do with our assets in the event of a voluntary dissolution. We must select another nonprofit corporation to pass them on to, such as a hospital, university, another club etc. Any ideas? Under "purpose for which the nonprofit corp. is organized" I thought I could distill something out of the statement that appears on our website and newsletter under THE GREATER SEATTLE AQUARIUM SOCIETY. I have talked to them about the definition of "registered agent" and "incorporator", and I can sign for both. The Sec. of State phone # is 360-753-7120 and then select 5 to speak with a human being, if you have any questions.
